These Terms of Service (“Terms”) govern your use of Smart-BizFlow, a business management platform operated by Smart-BizFlow (“we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms.
1. Eligibility & Accounts
You must be at least 16 years old and authorized to act for the business you represent. You are responsible for maintaining the accuracy of your account information and for keeping your password secure. You are responsible for all activity under your account and for your teammates’ use of your workspace.
2. Subscriptions & Billing
Paid plans are billed on a recurring monthly basis through Stripe. We offer a no-cost trial for new organizations; trial details and limits are shown when you select a plan. After a trial ends, continued paid access requires an active subscription. Plan prices, seat limits, and features are listed on our pricing page and may change; changes do not affect your current billing period. You can cancel at any time; cancellation takes effect at the end of the current period and you will not be charged again.
3. Customer Payments
When you connect your own Stripe account, customer payments for your invoices are processed directly through your connected account and governed by your agreement with Stripe. Smart-BizFlow facilitates creating checkout and payment links but is not a party to those transactions and does not hold customer funds. You are responsible for your invoicing, tax, and refund obligations.
4. Acceptable Use
You agree not to:
- Use Smart-BizFlow for unlawful, fraudulent, or infringing purposes.
- Upload content that violates others’ rights, including intellectual property or privacy rights.
- Send unsolicited or deceptive emails through the service, or use it to send spam.
- Attempt to access other organizations’ data, disrupt the service, or introduce malware.
- Reverse engineer, resell, or create competing services from Smart-BizFlow without authorization.
5. Your Content & License
You retain ownership of the business data you submit. You grant Smart-BizFlow a limited license to host, transmit, and process your data to provide the service, including generating AI-assisted suggestions through Kia. You are responsible for ensuring you have the rights to any content you add and for obtaining consent from contacts whose information you store.
6. AI Features
Kia provides AI-generated suggestions and drafts based on your workspace data. AI output may be inaccurate or incomplete. You are solely responsible for reviewing and sending any AI-generated content to your clients. We are not liable for consequences arising from reliance on AI-generated output.
7. Service Availability
We strive to keep Smart-BizFlow available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice. We are not liable for downtime caused by factors outside our control, including third-party providers (Stripe, email, calendar, AI).
8. Data & Account Termination
You can delete your account from Settings; this permanently removes your workspace data after confirmation. We may suspend or terminate accounts that violate these Terms, remain unpaid, or pose legal or security risk. Upon termination, your right to use the service ends, and we may delete your data after a reasonable grace period.
9. Intellectual Property
Smart-BizFlow, including its software, design, branding, and content we create, is owned by us or our licensors. These Terms grant no rights to our intellectual property except the limited license to use the service as permitted here.
10. Disclaimers
The service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the service will be error-free, uninterrupted, or secure.
11. Limitation of Liability
To the maximum extent permitted by law, Smart-BizFlow and its affiliates are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost data, or business interruption arising from the service. Our aggregate liability for any claim is limited to the amount you paid us in the twelve months preceding the claim.
12. Indemnity
You agree to indemnify and hold Smart-BizFlow harmless from claims arising from your content, your use of the service, your customer interactions, or your violation of these Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction where Smart-BizFlow is incorporated, without regard to conflict-of-laws rules. We will attempt to resolve disputes informally; otherwise, disputes will be resolved in the courts of that jurisdiction.
14. Changes to These Terms
We may update these Terms. We will post changes with an updated date and, for material changes, notify active users. Continued use after changes take effect constitutes acceptance.
